Terms of Service

These Terms are a contract between you and BoxNear LLC ("BoxNear," "we," "us") governing your access to and use of the BoxNear website at boxnear.com and the BoxNear iOS and Android apps (collectively, the "Service").

1. What BoxNear is

BoxNear is an online marketplace that connects local sellers of cardboard boxes, packing materials, scrap metal, construction materials, recyclables, and business surplus with nearby buyers for local pickup. BoxNear itself does not own, inspect, package, or deliver the items listed. Sellers are the merchants of record for the goods they list.

2. Eligibility and accounts

  • You must be at least 18 years old and able to enter a binding contract.
  • You must provide accurate registration information and keep it current.
  • You are responsible for all activity under your account and for keeping your credentials secure.
  • One account per person; store accounts must be operated by an authorized representative of the business.
  • Sellers who receive payments must complete Stripe Connect onboarding — see the Stripe Connect Disclosure and Seller Agreement.

3. Roles

Your BoxNear account may function as a buyer, a seller (store owner), a store employee added by an owner, or an administrator. Permissions differ by role — for example, store employees can manage listings and redeem pickup codes but cannot change payout settings; only store owners can connect a Stripe account.

4. Listings and reservations

Sellers create listings that describe items, quantity, price, pickup location, and pickup window. Buyers reserve items by paying (or, for free listings, by claiming) through the Service. A confirmed reservation entitles the buyer to pick up the reserved quantity at the seller's location within the pickup window, subject to the Reservation & Pickup Policy.

5. Fees

BoxNear charges sellers a platform fee equal to 30% of the transaction gross, deducted automatically at the time of charge through Stripe Connect destination charges. See Platform Fee Policy. Buyers are not charged a separate BoxNear service fee.

6. Payments

Payment card processing is provided by Stripe. By transacting on BoxNear you agree to Stripe's terms — see Payment Processing Policy.

7. Acceptable use

You agree to follow the Acceptable Use Policy, Prohibited Items Policy, and User-Generated Content Policy. We may remove content, cancel reservations, suspend accounts, or terminate access when these rules are broken.

8. Content you provide

You keep ownership of listings, photos, reviews, messages, and other content you submit. You grant BoxNear a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, modify (for formatting and resizing), and distribute that content solely to operate and promote the Service. Public content (listings, store photos, reviews, business info) is intentionally visible to other users and search engines.

9. Verification and trust

BoxNear may verify email, phone number, business identity, and payout eligibility, and may display trust indicators derived from your activity (pickups completed, ratings, disputes). See Identity & Business Verification. We may adjust or remove trust indicators at any time based on new information.

10. Suspension and termination

We may suspend or terminate your account and remove content in accordance with the Suspension & Termination Policy. You may close your account at any time by contacting support@boxnear.com.

11. Disclaimers

See Warranty Disclaimer, Limitation of Liability, and Indemnification. In short: the Service is provided "as is," BoxNear does not warrant the quality, safety, legality, or accuracy of listings or of items exchanged, and BoxNear is not a party to transactions between buyers and sellers.

12. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any lawsuit relating to these Terms or the Service must be brought in the state or federal courts located in Essex County, New Jersey, and you consent to that jurisdiction. Before filing suit, you agree to attempt informal resolution by contacting support@boxnear.com and giving BoxNear thirty (30) days to respond. See also Dispute Resolution.

13. Changes

We may update these Terms. Material changes are announced in-app and by updating the "Last updated" date above. Continued use after the effective date constitutes acceptance.
